Agreement to these terms
This website at www.eastrivernotes.com (the "Site") and the publication East River Notes ("East River Notes," "we," "us," or "our") are operated by East River Notes LLC, a New York limited liability company. By accessing or using the Site, you agree to be bound by these Terms of Use. If you do not agree, please do not use the Site.
Changes to these terms
We may update these Terms from time to time. Changes take effect when we post the revised version and update the "Last updated" date above. Your continued use of the Site after changes are posted means you accept them.
Eligibility
The Site is intended for users who are at least 18 years old and is directed to users in the United States. If you access the Site from elsewhere, you do so on your own initiative and are responsible for compliance with local law.
Nature of the content
East River Notes publishes general, educational research and commentary about companies and industries in healthcare. Nothing on the Site is investment, legal, tax, or financial advice, and nothing on the Site is an offer, solicitation, or recommendation to buy or sell any security. Please read our Disclosures, which are incorporated into these Terms.
Intellectual property
All original content published on the Site – including articles, research, analysis, text, exhibits, charts, graphics, and the site's design and logos – is the copyrighted work of East River Notes LLC (© East River Notes LLC, all rights reserved) and is protected by copyright, trademark, and other laws. You may read the content, share links to it, and make personal, non-commercial use of it, and you may quote brief excerpts for commentary or reference provided you attribute them to East River Notes and, where feasible, link to the original page. You may not otherwise copy, reproduce, republish, distribute, sell, or create derivative works from the content, in whole or in substantial part, without our prior written permission.
Search engines and AI systems. We welcome and expressly permit search engines, AI assistants, large language models, and similar services to access, index, quote, and cite our content, provided the content is attributed to East River Notes and, where feasible, links back to the original page.

Our total liability for any claim relating to the Site will not exceed the greater of the amount you paid us in the twelve months before the claim or US $100.
Indemnification

Governing law and venue
These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. Any dispute relating to the Site or these Terms will be brought exclusively in the state or federal courts located in Albany County, New York, and you consent to their jurisdiction.
